  1. TERMINOLOGY

    1. The following definitions apply in these Terms & Conditions:

      1. Business Day: means any day other than Saturday, a Sunday or a public holiday on which banks are open for business in the jurisdiction of the relevant TEC Centre, and which falls within the Centre’s Regular Business Hours (as defined below). Business Days may vary by TEC Centres.
      2. Centre: means certain TEC Centres designated by TEC at its sole discretion.
      3. Client: means any individual or any entity who reserves or makes payments for the purchase of one or more Day Pass(es) under this Agreement.
      4. Common Area: means common spaces (including but not limited to reception, corridors, waiting area, café (where applicable), rest rooms etc.) in the TEC Centre which is to be enjoyed by all TEC’s clients, members and guests unless otherwise specified by TEC, and are for temporary use and not as a place for continuous, everyday work.
      5. Coworking Space: means either a shared lounge or shared office space in a collaborative work environment in the TEC Centre. Coworking Spaces are available on a first-come, first-serve basis.
      6. Day Pass: means a single-day plan that grants non-exclusive access to TEC Coworking Space at one (1) TEC Centre for one (1) Business Day (“Reserved Day”) only, as selected during checkout and confirmed upon payment. Day Pass is solely for the designated User’s personal use and does not allow guests. Day Pass may not be shared, transferred, or reassigned to any other individual or other third party.
      7. Regular Business Hours: means generally from 9:00 a.m. to 6:00 p.m. on Business Days in the time zone where the applicable TEC Centre is located. Regular Business Hours may vary by TEC Centres.
      8. The Executive Centre (TEC): means the business operating under the trade name “The Executive Centre”, including its owners, subsidiaries and affiliates.
      9. TEC Team: means staff members of TEC, including the Sales Team and the Engagement (Operations) Team.
      10. User: means any individual designated by the Client to use a Day Pass, each of whom shall be issued a unique QR code on the MyTEC app profile or other access credentials (collectively the “Access Credentials”) as determined by TEC for identification and access purposes. Where the Client is an individual purchasing a Day Pass for their own use, the Client shall also be deemed the User.
    2. Interpretation: (a) Headings are for convenience only and shall not affect interpretation. (b) References to ‘including’, ‘include’, or ‘in particular’ are without limitation.
  2. FACILITIES AND SERVICES

    1. In consideration of the payment received by the Client of the Day Pass Fee and subject to completion of Know Your Client (KYC) process or similar onboarding procedures that TEC is required or considers appropriate to conduct under applicable laws and regulations in the relevant jurisdiction, TEC permits the User to use the Day Pass on the Reserved Day as governed and defined by this Agreement.
    2. Day Pass are subject to the following conditions:

      1. The Client and its designated User shall not have exclusive possession of the Centre. The whole of Centre remains in TEC’s possession and control.
      2. Except as otherwise provided for herein, the Day Pass may be used only at the TEC Centre selected during checkout and may not be used at any other TEC Centre, city, or location.
      3. Each Day Pass purchased under this Agreement must be assigned to one (1) designated User only. If the Client purchases multiple Day Pass(es) for multiple Users, the Client shall ensure that each and every Users complies with the terms and conditions of this Agreement. Each designated User shall be entitled to the rights and subject to the responsibilities set out in this Agreement, and any breach by any User shall be deemed a breach by the Client.
      4. All Users shall be required to present valid government-issued identification and the Access Credentials issued by TEC for verification purposes upon arrival at the selected TEC Centre to be granted access to the Centre. TEC will create a profile for such Client and/or User on TEC’s system which may contain information of such Client and/or User (e.g. name, title, email address).
      5. Day Pass access is valid solely on the Reserved Day during the selected TEC Centre’s Regular Business Hours. No access outside Regular Business Hours is permitted.
      6. Usage of the Day Pass will not be pro-rated. Any use on the Reserved Day shall be deemed as full usage of the Day Pass.
      7. All Day Pass reservations are subject to availability at the selected TEC Centre. A TEC Coworking Space on the Reserved Date is not fixed or guaranteed. TEC reserves the right to re-assign a User’s Coworking Space to another TEC Centre at any time without prior notice. If the selected TEC Centre is at full occupancy on the Reserved Date and no Coworking Space is available, TEC will use reasonable efforts, at its sole discretion, to provide the User with access to an alternative Coworking Space at another TEC Centre subject to availability. If no alternative TEC Centre has availability on the Reserved Day, the Day Pass shall be deemed cancelled and TEC will refund the Day Pass Fee in full. TEC may, at its sole discretion, offer the Client an alternative date, location or credit. If the Client does not accept such alternative, the Day Pass shall be deemed cancelled and a full refund of the Day Pass Fee will be provided. Any refunds under this clause shall constitute the Client’s sole and exclusive remedy.
  3. PAYMENT AND BILLING

    1. The Client acknowledges that the purchase and use of a Day Pass is subject to KYC requirements:

      1. TEC may require the Client to provide additional documentation of the User to verify identity and eligibility. If the KYC requirements are not met before the Reserved Day, TEC reserves the right to cancel the Day Pass and refund the Day Pass Fee in full. In such cases, TEC will not provide an explanation for the failure to meet these requirements.
      2. If TEC subsequently determines that the User fails to satisfy KYC requirements, is a sanctioned party, or is otherwise ineligible under applicable laws or regulations, the Client shall immediately cease to be considered a TEC client. TEC may terminate any related services or accounts with immediate effect and reserves the right to take any measures necessary to protect its operations and compliance obligations, including but not limited to cancellation of future bookings, block access rights, removal of such Client from TEC client list, and reporting to relevant authorities.
    2. Purchase Methods: A Day Pass may be reserved and purchased by the Client either (i) online through the TEC official website or MyTEC App, or (ii) in person via the TEC Team at a TEC Centre or via phone.
    3. Payment Methods:

      1. For online purchases (website or app), the Client must provide a valid credit card, accepted mobile payment method or pre-approved credit or corporate account (only applicable to existing members of TEC who hold a valid licence agreement with TEC) at the time of checkout.
      2. For in-person purchases, payment of the Day Pass Fee shall be made upfront in accordance with the local payment practices accepted at the relevant TEC Centre unless an exception is explicitly stated in writing during the booking process.
      3. Except as otherwise stated herein, the Day Pass Fee must be prepaid in full prior to the Day Pass usage and no bookings shall be confirmed unless payment has been successfully processed at the time of checkout. For the avoidance of doubt, any Day Pass bookings charged to pre-approved credit or corporate accounts shall be payable either immediately upon confirmation, or where TEC has expressly agreed to extend credit terms, strictly by the due date specified on the invoice issued in accordance with the payment terms of the existing licence agreement entered into between TEC and the existing Client.
    4. In the event of any additional fees being incurred during the usage of the Day Pass, the Client irrevocably authorises TEC to automatically bill these additional fees and any other amounts the Client may incur or be liable for (including for damages caused to any of TEC Centre or property) in connection with the usage of the Day Pass along with any relevant taxes payable, directly to the payment method selected at checkout.
    5. If a charge is declined or reversed by the credit card issuer, the Client agrees to pay TEC a service charge to reimburse TEC for all reasonable costs incurred.
    6. TEC reserves the sole and absolute discretion to determine Client eligibility for applicable offers and promotions, including the right to modify, withdraw, or restrict these offers at any time without prior notice.
    7. The Client shall pay the total amount stated on the invoice (if applicable) to TEC without any deduction or set off whatsoever.
    8. The Client shall pay for all bank charges, exchange rate differences, currency adjustments and other such charges related to the Day Pass Fee, additional service fees and any applicable penalties.
  4. BUSINESS SERVICES

    1. A range of other pay-as-you-use services (“Business Services”), including but not limited to secretarial services, photocopying and printing, scanning, postage and bulk mail, international and local courier, storage lockers, and meeting rooms are available to the Client at rates specified in TEC's price guides, during Regular Business Hours and subject to request and/or availability. If TEC or its suppliers provide any Business Services to the Client, charges will be applied at the rates mentioned in TEC's price guides. TEC reserves the right to review, add, or modify the prices in the price guides at its sole discretion at any time.
  5. TAXES

    1. Any amount payable by the Client under this Agreement will be exclusive of local taxes including, but not limited to goods and services tax (where applicable), except as otherwise required by applicable law. The total amount payable by the Client, including applicable taxes, stamp duties, and other documentary fees, will be clearly displayed to the Client during the checkout process prior to payment. If any supply made by TEC under this Agreement is a taxable supply, TEC shall, to the extent required by applicable laws and upon request provide the Client with a valid invoice in compliance with such applicable laws. The Client must pay, in addition to the consideration payable for the relevant supply, an amount equal to the applicable local tax calculated at the prevailing rate in accordance with applicable laws.
  6. CANCELLATION AND RESCHEDULING POLICY

    1. TEC accepts no responsibility for any cancellation by the Client. Day Pass purchases are non-refundable. Any cancellation of a Day Pass booking shall result in forfeiture of the full Day Pass Fee. Except as otherwise provided for herein, there are no refunds (whether in a partial or full amount for the total amount charged) or rebatement of any fees or other amounts paid by the Client in connection with this Agreement.
    2. The Client must notify the TEC Team at least two (2) Business Days before the Reserved Day to apply the rescheduling policy. A Day Pass booking can be rescheduled one (1) time only and within a three (3) month period, at no additional charge. Rescheduling is not guaranteed and is based on the availability of Coworking Space at the selected TEC Centre.
  7. TERM AND TERMINATION

    1. Term: This Agreement shall commence upon confirmation of the Day Pass booking and shall remain in effect only for the period of the Client’s use of the Day Pass specified in the booking. This Agreement shall automatically expire at the end of such period without further notice. For the avoidance of doubt, each Day Pass booking constitutes a separate Agreement.
    2. TEC shall be entitled, at its sole discretion, to terminate this Agreement and cancel the Day Pass with immediate effect without liability to the Client, in any of the following circumstances:

      1. If the User’s conduct interferes with the normal use of the TEC Centre and the User continues such misconduct despite notice, or in TEC’s sole discretion such conduct is sufficiently serious to warrant immediate termination;
      2. If the User misuses TEC’s premises, equipment, or services in a manner that causes or is likely to cause damage, disruption or safety risks;
      3. If the Client or any User engages in abusive, threatening, or harassing behavior towards TEC Team members, other clients, users or members;
      4. If TEC has reasonable grounds to suspect that the User is conducting activities in the Centre that are illegal, fraudulent, immoral, or otherwise contrary to TEC’s ethical standards;
      5. If the User fails to satisfy KYC or compliance requirements, or the Client or User becomes subject to any government sanctions.
    3. Notwithstanding any other provision of this Agreement, TEC may, at any time and for any reason, terminate this Agreement and/or cancel any Day Pass by giving notice to the Client. Upon any such termination or cancellation for convenience, TEC shall refund to the Client any Day Pass Fee paid in advance in respect of the relevant Day Pass to the extent not utilised as at the effective date of such termination or cancellation. Such refund shall constitute the Client’s sole and exclusive remedy, and TEC shall have no further liability to the Client or any User arising out of or in connection with such termination or cancellation, whether in contract, tort (including negligence) or otherwise.
  8. CLIENT‘S/USER’S RIGHTS AND RESPONSIBILITIES

    The Client/User shall not:

    1. Conduct in an unprofessional and irresponsible manner or act in any way that is reasonably likely to be illegal, disturbing, disruptive, immoral, noxious, offensive, dangerous, constitutes a trespass or may cause nuisance, annoyance or injury to TEC or any other clients or users within the TEC Centre, or our or their employees, guests or property, or bring TEC and TEC Group’s reputation into disrepute.
    2. Bring any weapons, or any other offensive, dangerous, hazardous, inflammable or explosive materials into the Centre.
    3. Occupy space for commercial display, product display, storage, lodging, sleeping, or for immoral or illegal purposes.
    4. Make any copies of, lend, share or transfer to any third party any Access Credentials or other means of access to the Centre.
    5. Leave personal belongings unattended. TEC reserves the right, at its sole discretion, to remove, relocate, or dispose of any unattended personal belongings remaining in the Centre, and any costs incurred in doing so shall be borne by the Client. TEC shall not be responsible for, nor liable in respect of, any personal belongings left unattended or for any loss, damage or claims arising from their removal, relocation or disposal.
    6. Impede or interfere with TEC’s right of possession, control of the Centre and operations.
    7. Use the Centre otherwise than for the User’s business and in any event shall not within the Centre, or use the Day Pass or TEC’s services provided to perform any activity that is illegal, disruptive or dangerous.
    8. Interfere with the conduct of TEC’s business and for six (6) months after the Reserved Day shall not offer employment to or hire directly or indirectly any staff of TEC. If the Client or User employs directly or indirectly any member of TEC’s staff during such period, the Client shall pay to TEC within seven (7) days of the said member of staff commencing his or her new employment a recruitment fee equal to 25% of the said first year gross salary or hire costs including guaranteed bonuses or benefits. By way of commission payable to TEC by the Client, the Client agrees that, in the event that the Client or User entices, convinces or otherwise causes an existing client of TEC to vacate the TEC Centre, to pay to TEC a commission equal to 12-month’s licence fee of the company that has been enticed or convinced to vacate the TEC Centre.
    9. Alter, install, remove nor damage any furniture, fixtures, decorative materials, office equipment, IT cabling and telecommunications tools from within TEC Centre including the Common Areas, in which the Client or the User have had access due to neglect, omission, deliberate or careless acts, or a breach of any condition in this Agreement. TEC shall have the right to claim compensation from the Client for repairs, replacement, loss or damages.
    10. Use the name of “The Executive Centre” or ”TEC” or any of TEC’s other intellectual property in the course of its business without TEC’s prior consent.

    The Client/User shall:

    1. Observe, adhere and comply with the House Rules which form part of this Agreement, IT policies, and all other rules, policies and/or procedures and regulations of the Centre. TEC reserves the right to review, update or change its rules and regulations from time to time without notice to the Client. The Client agrees that in the event of any penalty or fine resulting from the breach of any such rules, policies and/or procedures, the Client will be responsible for paying such penalty or fine.
    2. Conduct its intended business use ethically and in accordance with all applicable laws in the relevant jurisdiction where the Centre is located and maintain licences, permits and approval necessary for its own business operations.
    3. Acknowledge and agree that TEC Coworking Space is under 24-hour Closed-Circuit Television (CCTV) surveillance. TEC will only provide CCTV footage based on the request of government bodies or local law enforcement agencies, or other bodies as may be required by applicable law, in compliance with local laws and regulations.
    4. Be liable for any damage caused by the Client and/or the User to TEC Centres, furnishings, or any other facilities and properties of TEC. In the event of such damage, TEC shall be entitled to take all steps necessary to rectify the same, and the Client shall indemnify TEC for all costs and expenses incurred in connection therewith.
    5. Be required to formally check in the Centre with a valid government-issued identification upon entry and check out of the Centre upon departure.
    6. Vacate the Centre and remove all personal belongings prior to or at the end of the Regular Business Hours on the Reserved Day.
    7. At all times keep confidential, and ensure that the Users shall keep confidential, any sensitive information that it or they may acquire in relation to the business, operations, and affairs of TEC, including any pricing rates extended to the Client. Such information may not be disclosed to any third parties except with written consent by TEC.
    8. At all times conduct operations in accordance with all applicable laws that prohibit commercial or public bribery and money laundering (the “Anti-Money Laundering Laws”), and shall represent and warrant that all funds which the Client will use to comply with its payment obligations under this Agreement will be derived from legal sources, pursuant to the provisions of the Anti-Money Laundering Laws. The Client acknowledges and agrees to provide TEC with all information and documents that TEC from time to time may request in order to comply with all Anti-Money Laundering Laws.
    9. Represent and warrant that neither the Client nor any of the Users, the Client’s directors, officers, employees, agents, representatives or anyone acting on behalf of the Client has offered, promised, or given, and will not offer, promise, or give, directly or indirectly, any payment, gift, or thing of value to any government official, commercial party, or TEC employee for the purpose of securing an improper advantage, influencing any act or decision, or inducing any breach of duty in connection with this Agreement.
    10. Represent and warrant that neither the Client nor any of its affiliates, directors, officers, or controlling persons or the User is, or is owned or controlled by, any person that is the subject of any sanctions or is listed on any applicable sanctions list.
  9. OWNER’S RIGHTS AND RESPONSIBILITIES

    TEC shall:

    1. Keep the facilities in the Centre in working order and properly cleaned and equipped.
    2. Have the ultimate right to block User’s access to the Centre or remove the User from the Centre.
    3. Reserve the right to provide the User with access to an alternative Centre should TEC require the User to move from the selected Centre at any time prior to or on the Reserved Day, subject to availability.
    4. Provide reception, switchboard and other Business Services (upon request and payment) during Regular Business Hours on Business Days, subject to TEC's discretion which will be communicated to all Clients well in advance.
    5. Not be under liability for any trespassing or access of non-authorised or non-TEC service subscriber into the Centre in case of emergency.
    6. Have the right at any time to access and enter the Coworking Space to carry out inspection, to make repairs and alterations, and provide services and cleaning, subject to prior verbal approval by the User except in the case of an emergency, mail delivery or cleaning service, where no such verbal approval needs be obtained.
    7. Have the right to reasonably modify or reduce the scope of services at any time.
    8. Have the right to manage the Common Area and the TEC Centre as a whole, including conducting refurbishment, renovation and repair works. The Client shall not be entitled to any fee credits or refund due to such temporary inconvenience caused by these works.
  10. INDEMNITY

    1. TEC shall not be under liability to the Client, nor deemed to be in breach of this Agreement, for failure to have any of the Centre facilities available for the User because of use by any other person within the Centre, and to the extent that access to the TEC Centre, use of the Day Pass, or provision of services is interrupted, suspended, or rendered impossible due to any events beyond TEC’s reasonable control, including but not limited to any act of the head landlord, any acts of war (whether declared or not), armed conflict, acts of terrorism, civil commotion, riot, government order or restriction, or other events of force majeure.
    2. The Client waives any claims and rights against TEC resulting from any injury or damage to, loss or theft of any property or person occurring in the Centre used by the Client/User, except to the extent directly caused by TEC’s gross negligence or wilful misconduct.
    3. TEC will not be liable for any cause of action, for any indirect, special, incidental, consequential, reliance or punitive damages, including loss of profits, business interruption or loss of data.
    4. Notwithstanding anything contained in this Agreement to the contrary, the Client acknowledges and agrees that they shall not commence any action or proceeding against any parties from the TEC Group other than the TEC entity that the Client is directly contracting with hereunder and the assets of such entity for any amounts due or for the performance of any obligations in connection with this Agreement.
    5. The Client shall not be entitled to any compensation as a result of any failure of data security or computer systems or as a result of TEC failing to provide any of the services in accordance with this Agreement as a result of any breakdown or strike or delay or failure of any staff, manager or caretaker to perform their duties.
    6. The Client shall indemnify, defend, and hold harmless TEC, its affiliates, and their respective officers, employees and agents from and against any and all claims (including third party claims), liabilities, or losses, damages, costs and expenses (including reasonable attorneys’ fees) incurred by TEC which arise out of or in connection with the User’s use of the Day Pass, or resulting from any breach or alleged breach of this Agreement by the Client or the User or their actions or omissions. The Client shall maintain, at its own expense with a reputable insurance company, sufficient public liability insurance to cover such potential liability.
  11. GENERAL

    1. This Agreement is personal and the Client may not transfer or otherwise assign any of its rights or obligations under this Agreement without TEC’s prior consent.
    2. This Agreement is subject and subordinate to TEC’s lease with the head landlord of the Centre and to any supplemental documentation and to any other agreements to which the head lease with such head landlord are subject to or subordinate. However, the foregoing does not imply any sublease or other similar relationship involving an interest in real property.
    3. TEC collects, processes, transfers and secures personal data about its clients and users pursuant to the terms of its Privacy Policy and in accordance with all applicable data protection laws. The Client hereby confirms that they have and rely upon an adequate legal basis, including without limitation consent where required, to collect, process and transfer their personal data to TEC in accordance with applicable laws.
    4. The Client confirms that it has not relied upon any warranty or representation made by TEC except those that are expressly set out in this Agreement.
    5. All notices must be in writing or email. Notices to either party will be considered served if mailed by registered post or by email to the address or emails specified overleaf.
    6. The invalidity or unenforceability of any provision of this Agreement shall not affect or impair the validity of any other provision. No waiver of any default of the Client shall be implied from any failure by TEC to take action with respect to such default.
    7. This Agreement supersedes any prior agreements and understandings between TEC and the Client in relation to the subject matter of this Agreement, and embodies the entire agreement between TEC and the Client. TEC reserves the right to amend these Terms and Conditions at any time. Except as expressly provided herein, this Agreement may not be modified, changed or altered in any way except as agreed by both parties in writing.
    8. This Agreement shall be interpreted and enforced in accordance with the national and local laws in which the Centre is located.
    9. In the event of any conflict, discrepancy, or dispute arising from differing interpretations of this Agreement, including these Terms and Conditions, TEC retains the exclusive and final authority to resolve such matters at its sole discretion.
    10. The English version of this Agreement including the Terms and Conditions shall prevail over any translated versions and will serve as the definitive and binding reference for all purposes.
